Terms of use

These Terms govern your access to and use of Simplify to Amplify (the “Site”) at https://marni.bookactivation.com. The Site is operated on behalf of Marni Hale. By using the Site, you agree to these Terms. If you do not agree, do not use the Site. Have qualified counsel review these Terms for your jurisdiction and business model.

The service

The Site provides an online reader companion experience—such as interactive diagnostics, readouts, guided planning tools, and related educational content. Features may change, be suspended, or be discontinued. We do not warrant that any particular output is complete or suitable for your situation without your own judgment and, where appropriate, professional advice.

Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use account features. You are responsible for safeguarding credentials and for activity under your account. Notify us if you suspect unauthorized access, using the contact method below.

Acceptable use

You agree not to:

  • Use the Site in violation of law or third-party rights;
  • Attempt to gain unauthorized access to systems, data, or accounts;
  • Interfere with or disrupt the Site (including by introducing malware or excessive automated traffic);
  • Misrepresent your identity or affiliation, or scrape the Site in a way that harms performance or other users;
  • Use outputs from the Site to harass, defraud, or harm others.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or creates risk.

Intellectual property

The Site, its design, branding, text, graphics, and underlying software are owned by the operator or its licensors and are protected by intellectual property laws. Related book and program materials may be separately owned by publishers or licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial reader use unless we expressly permit otherwise in writing.

You retain rights in information you submit; you grant us a license to host, process, transmit, and display that information as needed to operate and improve the Site.

Third-party links and tools

The Site may link to third-party websites, storefronts, or tools. Those services have their own terms and privacy practices. We are not responsible for third-party content or actions.

Disclaimers

Important — read this section carefully

THE SITE AND ALL CONTENT, TOOLS, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SITE DOES NOT PROVIDE LEGAL, MEDICAL, TAX, OR OTHER PROFESSIONAL ADVICE; DECISIONS YOU MAKE BASED ON THE SITE REMAIN YOUR RESPONSIBILITY.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE OPERATOR OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SITE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US 00), EXCEPT WHERE PROHIBITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless the operator and its affiliates, contractors, and personnel from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of others’ rights.

Changes

We may modify these Terms by posting an updated version on the Site. The updated Terms take effect when posted unless stated otherwise. Continued use after changes means you accept the updated Terms. If you do not agree, stop using the Site.

Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless a different governing law is required for consumers in your jurisdiction. Courts in Delaware (or the U.S. federal courts located there, where jurisdiction exists) shall have exclusive venue for disputes arising out of these Terms—except that consumers may have non-waivable rights to sue in their home courts. Replace this section if your operator entity or preferred venue differs.
